Cortex terms of use

These terms apply to the use of the Cortex application.

1. Provider

Ing. Christoph Vogelsang · Vogelsang AI · P.O. Box 33, 3400 Klosterneuburg, Austria · VAT ID ATU66520099 · office@vogelsang.ai

2. Subject matter

Cortex is a web application that organises email, tasks and appointments. It is in a controlled beta and is available to invited users only. The umbrella brand's terms of use apply to the public information page vogelsang.ai/cortex.

3. Access and account

Access is granted by signing in with a Google or Microsoft account. There is no entitlement to access. Sign-in credentials must be kept confidential; you are responsible for actions taken through your account.

4. Connected accounts

If you connect a Google or Microsoft account, Cortex accesses it only to the extent of the permissions you approved when connecting, and only for the features visible in the application. You can disconnect at any time in the settings and additionally revoke the permission directly with your provider. Which data is processed, stored and deleted is set out in the Cortex privacy policy: vogelsang.ai/cortex/privacy.

5. Your obligations

Cortex must not be used unlawfully, to circumvent security measures, or in a way that overloads the service by automated means. You are responsible for being authorised to access the content of the connected accounts. Rights in the brand, design and software remain reserved.

6. Availability and beta

Cortex is a beta: features may change, be limited or be discontinued, and operation may be interrupted. No specific availability is promised. The results of AI-assisted features are suggestions and should be checked before use; Cortex is not a substitute for legal, tax or other professional advice. Mandatory statutory rights remain unaffected.

7. Paid use

Price and service. The “Start on your own” subscription costs €59 net per month per user plus statutory VAT. A user is one person with one connected mailbox. For the first 50 paying “Start on your own” subscriptions, the Founder price of €39 net per month per user plus statutory VAT applies (see “Founder price”). The scope of service is shown before the contract is concluded and in the application.

Fair use. The price covers the usual business use of Cortex by the users included in the subscription.

It does not cover exceptionally high or predominantly automated use that clearly exceeds usual business use. This may be the case in particular where exceptionally large volumes of automatically generated or mass-forwarded messages are processed by Cortex, or where Cortex is driven at scale by scripts or other programs.

If we identify such use, we will inform you by email and first try to find a suitable solution together, for example a suitable plan or an individual agreement.

If no agreement is reached, we may, after prior notice, limit the processing of that exceptional use to a reasonable extent, insofar as this is necessary to avoid a disproportionate burden on the service. Both parties' right to terminate under the section "Term and termination" remains unaffected.

This fair-use rule also applies during an agreed Founder price commitment.

Founder price. The Founder price of €39 net applies to the first 50 paying “Start on your own” subscriptions; sign-ups and the trial period do not count. Adding a payment method reserves a Founder place only temporarily; it is finally allocated with the first successful payment. Cancelling during the trial period releases the place, as does the absence of a successful payment within three days after the end of the trial period. The Founder price applies for 24 months from the first paid month and is fixed during that time. After that, the price only changes by prior agreement; if no agreement is reached, either party may terminate. The Founder price applies only to this one subscription and ends when the contract ends — including termination by us for late payment, which only takes place after a reminder. Anyone who later takes out a new subscription pays the regular price.

Term and termination. The subscription renews monthly and can be cancelled at any time in the settings with effect from the end of the current billing month; access remains until then. The provider may terminate the contract with 30 days’ notice to the end of a month, and at any time for good cause – in particular in the event of a breach of these terms.

During the 24-month Founder price commitment, ordinary termination by the provider is excluded. During this period, the provider may end a Founder subscription only:

a) for good cause, in particular in the event of a breach of these terms;

b) if it discontinues Cortex entirely for all customers, with three months’ notice;

c) in a case of hardship as set out in the following paragraph.

A case of hardship exists only if an objective event beyond the provider’s control substantially prevents the continued operation of Cortex or makes it disproportionately burdensome. This means exclusively: the permanent withdrawal of necessary access to Google or Microsoft; a statutory or regulatory prohibition; the loss of an indispensable third-party provider for which there is no reasonable alternative; an exceptional and permanent cost increase of an essential basic service that can be absorbed neither by the fair-use rule nor by reasonable technical measures. In particular, the following are not a case of hardship: the offering no longer being economically worthwhile, too few customers, general cost increases, a change of strategy, or the wish to raise prices. In a case of hardship, the provider will inform you by email and will first seek a solution together with you. An adjusted price applies only with your consent. If no agreement is reached, the provider may terminate the contract with three months’ notice.

If the contract ends under b) or c), the provider will enable you to export your data before the contract ends; prepaid, unused time will be refunded pro rata.

8. Governing law

Austrian law applies, excluding its conflict-of-law rules. If you are a consumer, the mandatory provisions of the Austrian Consumer Protection Act (KSchG) and the rights mandatorily available to you at your place of habitual residence remain unaffected.

9. Data protection

Which data Cortex processes, for what purpose, and how you delete it is set out in the Cortex privacy policy: vogelsang.ai/cortex/privacy.

10. Contact
